Fair Use Policy

Version 2.2 · October 2026 · Companion to the Platform Terms & Conditions, incorporated at clause 3.16

1. Purpose

This Fair Use Policy (“Policy”) governs how Clients may use the Adelo Platform. It applies to all Clients with an active Subscription Term or active Trial under the Platform Terms & Conditions (“the Agreement”) and is incorporated into the Agreement by reference at clause 3.16.

Usage limits — AI Credits, storage, webinar allowances, and attendee caps — are set by the Client’s subscription tier and enforced by the Platform. This Policy covers what those hard caps do not automatically prevent: behaviours that undermine platform integrity, degrade service for other clients, circumvent entitlements, or fall outside the intended purpose of the Platform.

Adelo’s approach to enforcement is to contact and work with the Client in the first instance wherever possible.

2. Permitted Use

Clients may use the Platform for all purposes consistent with their selected tier and the Agreement, including: running webinars, virtual events, and advisory board sessions; generating AI-assisted insights, summaries, and compliance outputs from their own content; managing HCP and attendee engagement; and accessing analytics and benchmarking data within their licensed scope.

A Client acting as a processor on behalf of a third-party controller (for example, a med comms agency running sessions on behalf of a pharmaceutical sponsor) may use the Platform on that basis, subject to the data processing requirements in Schedule 1 of the Agreement.

3. Usage Entitlements

Usage limits — including AI Credits, webinar allowances, registered attendee caps, storage, and user seats — are set by the Client’s subscription tier and enforced by the Platform. The current limits for each tier are published in the Pricing Schedule at adelo.co/pricing. Adelo reserves the right to update limits with 30 days’ notice in accordance with clause 3.13 of the Agreement. Clients who reach a cap are notified in-platform and may upgrade their tier or purchase additional entitlements where available.

AI Credits are consumed when AI features are invoked, regardless of whether the output meets the Client’s expectations. Credits are not refunded for AI Outputs that are inaccurate or unsatisfactory, consistent with clauses 4.7 and 4.8 of the Agreement. Adelo will provide Clients with in-platform visibility of their AI Credit balance and will notify them when they are tracking to reach their limit before term end.

4. Prohibited Uses

The following uses are prohibited. They supplement the Use Restrictions at clause 5.5 of the Agreement.

4.1 Platform integrity

  • Using the Platform in any way that damages, disables, overburdens, or impairs its infrastructure or interferes with other Clients’ use.
  • Conducting vulnerability scanning, penetration testing, or load testing of the Platform without Adelo’s prior written consent.
  • Attempting to gain unauthorised access to any part of the Platform, other Clients’ data, or Adelo’s internal systems.
  • Introducing malicious code to the Platform or using it to distribute such content.
  • Automated scraping, harvesting, or bulk extraction of data from the Platform beyond normal Platform use or an authorised API integration.

4.2 AI and content misuse

  • Using AI-powered features, analytics, or dataset access for purposes unrelated to the Client’s own engagement programmes. This includes using the Platform for general market research, geomapping, intelligence gathering, or competitive analysis activities that fall outside the scope of the Client’s licensed use, or using AI Credits to service third parties without an appropriate processing arrangement under Schedule 1.
  • Submitting Excluded Information (as defined in clause 1 of the Agreement) to the Platform via any input method, including session content, Q&A, chat, or file uploads. For the avoidance of doubt, professional registration numbers used for legitimate HCP verification purposes (such as GMC numbers or NPI numbers) are not Excluded Information and may be submitted where required by the Client's compliance process.
  • Submitting or uploading content that is unlawful, defamatory, fraudulent, or that infringes third-party intellectual property or privacy rights.
  • Using AI Output to make clinical, regulatory, pharmacovigilance, or safety-critical decisions without independent human review, in breach of clause 4.7 of the Agreement.
  • Submitting prompts or content designed to cause the AI pipeline to behave outside its intended parameters, expose internal system information, or produce outputs that constitute a security vulnerability.

4.3 Account and access misuse

  • Sharing login credentials between multiple individuals who are not authorised users within the same Client account. Each named user seat is a single named individual; credential sharing to circumvent seat limits is not permitted.
  • Granting account access to individuals who are not employees, contractors, or authorised agents of the Client without a valid processing arrangement under Schedule 1.
  • Using a single account to serve multiple independent organisations without a valid agency or processing chain arrangement under clause 1.3 of Schedule 1.
  • Attempting to maintain access to Platform features beyond an active Subscription Term. Where multiple Trial accounts are opened for the same organisation — for example, by separate teams or in different countries — Adelo will seek to work with the organisation to consolidate these into a single account rather than treating duplication as an automatic breach. However, deliberately opening multiple Trial accounts to circumvent the single-trial limit, or to extend the effective trial period beyond that available to a single account, is not permitted. Adelo reserves the right to contact the relevant organisation to discuss consolidation or conversion to a paid plan.
  • Using a Free Trial account for commercial production use.

4.4 Commercial restrictions

  • Reselling or sublicensing access to the Platform as if it were the Client’s own product, or white-labelling the Platform without Adelo’s prior written consent. For the avoidance of doubt, agencies and med comms companies may use the Platform to deliver engagement programmes on behalf of their clients, provided that: (a) the agency holds the Adelo subscription and is the contracting Client; in the Adelo relationship the agency acts as the data controller, and is responsible for ensuring its own data processing arrangements with the end client are in place; (b) the end client is identified to Adelo on the Order Form or workspace configuration; and (c) the agency does not represent the Platform as its own proprietary technology. An agency wishing to resell Adelo subscriptions directly to clients, or to include Adelo access as a line item in their own commercial arrangements, must obtain Adelo’s prior written approval.
  • Using the Platform to build a competing product or to reverse-engineer Adelo’s functionality, AI methodology, or proprietary scoring models.
  • Running sessions as a managed service on behalf of a third party under the Client’s own account without the end client being identified to Adelo and a valid data processing arrangement in place under Schedule 1.

4.5 Regulated content

Given that most Adelo clients operate in pharma, life sciences, and healthcare communications, the following additional restrictions apply:

  • The Platform must not be used to promote prescription-only medicines directly to consumers where prohibited by applicable law.
  • Any session involving promotional communications to HCPs must be configured with the appropriate consent capture, prescribing information footer, and MAT/job bag code mechanisms in accordance with clause 6.2 of the Agreement. The Client is solely responsible for regulatory compliance of its content.
  • Adelo’s AI safety-signal detection is designed to surface potential adverse event and off-label content for the Client’s review. Adelo accepts no liability for the Client’s failure to act on flagged content, or for any regulatory or pharmacovigilance consequences arising from the Client’s use of or reliance on AI-generated safety signals.

5. Enforcement

Adelo’s first response to a potential fair use issue is to contact the Client to understand the situation and agree a resolution. Adelo will not take enforcement action without first giving the Client a reasonable opportunity to explain or remedy the issue, except where there is an immediate risk to platform integrity, another client’s data, or applicable law.

Step 1 — Notification: Adelo notifies the Client of the concern and requests a response within five business days.

Step 2 — Remediation: If the Client acknowledges the issue, Adelo agrees a remediation timeline, typically 10–30 business days depending on severity.

Step 3 — Suspension: If the issue is not remediated, or where there is immediate risk, Adelo may suspend the relevant feature or account access in accordance with clause 9.11 of the Agreement.

Step 4 — Termination: Persistent or material breach of this Policy is a material breach of the Agreement and may result in termination in accordance with clause 8.1.

Adelo may suspend access immediately, without prior notification, where continued access presents an immediate risk of harm to the Platform, other clients, or Adelo’s legal or regulatory obligations. Adelo will notify the Client and provide reasons as soon as practicable. Access will be restored promptly once Adelo is satisfied no active breach is continuing.

6. Changes to this Policy

Adelo may update this Fair Use Policy from time to time. Material changes that restrict previously permitted use will be communicated with at least 30 days’ notice before taking effect, in accordance with clause 3.13 of the Agreement. Clarifications and additions that do not restrict existing use may take effect immediately.

The current version of this Policy is always available at adelo.co/fair-use.

7. Relationship to the Agreement

This Policy is incorporated into and forms part of the Agreement. In the event of any conflict between this Policy and the Agreement, the Agreement takes precedence. Breaches of this Policy are treated as breaches of the Agreement for the purposes of the suspension and termination rights in clauses 8.1 and 9.11.
